Your Key Undertakings when operating an MTÜ

  • An MTÜ is classified as a non-profit organization, indicating that its members will not have entitlement to share profits generated by the entity. However, it’s essential to note that the non-profit status does not inherently exempt the organization from potential taxation under income, social, or value-added tax acts if its activities warrant such taxation.
  • In terms of salaries, sale of goods or services, payments for non-business related expenses, or any other taxable expenses, the same income- and social tax and VAT liabilities will apply, similar to those for a commercial company.
  • Note, that some types of the income of an NGO may qualify as the sale of goods or -services. This may trigger the requirement to register for VAT in respective countries and organize VAT reporting.
  • VAT number in Estonia is not automatically included with the MTÜ. You must apply for a VAT number where applicable. Depending on your business profile, your MTÜ may need a VAT number in locations other than Estonia. Once you have obtained an Estonian VAT number, your MTÜ must do accounting and submit monthly VAT reports from the first month, even if the business hasn’t started yet.
  • Some MTÜ expenses may require monthly reporting, even if the entity has no income yet. These costs are any online- or digital services, non-business expenses, daily allowances, salaries, and payments without eligible receipts (credit card receipts are not accepted as proof of payment), and purchase of goods.
  • Receipt or distribution of grants, donations, and sponsorships by MTÜ requires instant processing in the accounting. Certain distributions by MTÜ are taxable by income tax in Estonia.
  • Before starting the activity of the MTÜ, you must ensure that the entity has all mandatory activity licenses and tax registrations. Note, that with international activity the entity may be subject to various requirements set forth by different countries. If an Estonian entity carries out activity in other countries, then it is likely subject to licenses and taxes in other countries, rather than in Estonia.
  • The details of your MTÜ, members, and directors must be updated in the business register as soon as they are changed. This also applies to your registered Contact Person and Virtual Office in Estonia. If failing to submit the required data, the MTÜ as well as all its management board members can be fined repeatedly.
  • If your entity won’t start the activity immediately and remains dormant, then certain obligations will still be required, such as preparation and submitting of the annual report (in some countries also called yearly tax return/statement). If the entity is Standard VAT registered but has no taxable sales, then monthly VAT reports are still mandatory to submit.
  • An annual report must be submitted online no later than 6 months after the end of the fiscal year. The fiscal year can be either 12 months from the month of incorporation of the entity or a calendar year. You can check the fiscal year of your entity at any time from the online business register. If you do not submit the report in due time, the court maintaining the business register may fine both the entity and its management board members without warning.
  • We hope that your entity will never have financial difficulties. Otherwise, the management board must summon the shareholders to decide on a merger, reconstruction, or dissolution of the entity. In the case of long-term insolvency, the management board must immediately file a bankruptcy petition with the court. Failure to react can bring about proprietary and criminal liability for the management board.
  • When the entity ceases to operate and members are not interested in keeping it anymore, then you must not leave the entity idle without duly submitting the reports as referred above, nor forgetting about the entity at all. The equity must then be dissolved by carrying out a voluntary liquidation procedure.

Countries that Estonia does not have a cooperation framework on justice, security, and law enforcement: Afghanistan, Algeria, Burkina Faso, Egypt, Iraq, Iran, Yemen, Jordania, Democratic Republic of the Kongo, Libanon, Libya, South-Sudan, Mali, Maroco, Mozambique, Nigeria, Niger, Pakistan, State of Palestine, North-Korea, Saudi Arabia, Somalia, Sudan, Syria, Tunisia, Usbekistan.
